PUBLIC OFFER (LICENSE AGREEMENT)

FOR THE ACQUISITION OF NON-EXCLUSIVE RIGHTS TO DIGITAL CONTENT AND SOFTWARE

1. GENERAL PROVISIONS

1.1. This document is the official public offer (a Public Offer under Article 395 of the Civil Code of the Republic of Kazakhstan) of TEYRON Limited Liability Partnership (BIN 221040011776), hereinafter the "Licensor" or the "Company", represented by its General Director Rustam Maratovich Kunafin, acting under the Charter.
1.2. This Offer sets out the terms on which individuals and legal entities (hereinafter the "Licensee" or the "User") acquire non-exclusive licenses to use digital goods, in-game content, software and digital services of the CybiDeck / TEYRON platform (hereinafter the "Digital Product").
1.3. Full and unconditional acceptance of this Public Offer (Article 396 of the Civil Code of the Republic of Kazakhstan) is the User's payment for a Digital Product on the website teyron.com or through the payment form of the authorised acquiring bank.

2. SUBJECT OF THE AGREEMENT

2.1. The Licensor undertakes to grant the Licensee a simple (non-exclusive) license to use the selected scope of the Digital Product (including in-game assets, profile extensions, digital packages, access to IT services and educational and technical smart sessions), and the Licensee undertakes to pay the license fee.
2.2. The rights granted to the Digital Product are valid worldwide and are intended for the User's personal non-commercial use (unless the plan specification expressly states otherwise).

3. PRICE AND PAYMENT

3.1. The price of non-exclusive licenses to Digital Products is stated on the Licensor's website in tenge (KZT), euro (EUR) or US dollars (USD).
3.2. The Licensor is a participant of the Astana Hub International Technopark of IT Startups (certificate No. 1250 of 23 December 2022). Taxes on the license price are charged in accordance with the tax legislation of the Republic of Kazakhstan applicable to technopark participants, unless the website states otherwise.
3.3. Payment is made by bank transfer using Visa or Mastercard bank cards through the secure payment gateway of Bank CenterCredit JSC (BCC Pay).
3.4. The User's payment obligation is deemed fulfilled when the transaction is successfully authorised by the Bank's processing centre.

4. DELIVERY OF THE DIGITAL PRODUCT

4.1. Rights to the Digital Product are granted (the digital good is delivered or access to the service is activated) automatically or semi-automatically, immediately and no later than 24 hours after the payment is confirmed.
4.2. Activation of the digital content is confirmed by an e-mail notification or a digital key sent to the User's e-mail, or by its appearance in the CybiDeck profile or in the game.

5. APPLICABLE LAW AND DISPUTES

5.1. The relations of the parties are governed by the law of the Republic of Kazakhstan.
5.2. Disputes are resolved by negotiation and, failing agreement, by the court at the Licensor's location, unless mandatory consumer protection law provides otherwise.
